Terms of Service

By creating an account, accessing, or using the NEXUS platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

NEXUS provides a cloud-based enterprise resource planning (ERP) and point-of-sale (POS) platform designed for retail, restaurant, and service businesses. The Service includes, but is not limited to:

• Point-of-sale processing and transaction management
• Inventory and stock management
• Customer relationship management (CRM)
• Online store builder and order management
• Reporting and business analytics
• Multi-branch and team management

We reserve the right to modify, update, or discontinue any part of the Service at any time, with reasonable notice to active subscribers.

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access to or use of your account
• Ensuring that all users added to your account comply with these Terms

You must be at least 18 years of age and legally capable of entering into a binding agreement under the law applicable to your contracting entity.

Plans & Pricing: The Service is offered under plans described on our Pricing page. Prices, currency, taxes, trial eligibility, and country availability come from the current regional plan catalog shown before signup.

Free Trial: New accounts may include a free trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service. No charge will be made without your explicit authorization.

Billing Cycle: Paid plans are billed in advance on either a monthly or annual basis, depending on your selection. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.

Price Changes: We may change our pricing with at least 30 days' written notice. Price changes will take effect at the start of your next billing cycle following the notice period.

Payment Methods: Only payment methods configured and displayed for your country are available. You are responsible for maintaining a valid authorized payment method when billing setup is required.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for illegal activity or in violation of applicable local or international law
• Attempt to gain unauthorized access to other users' accounts or data
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit malicious code, viruses, or harmful content
• Resell, sublicense, or redistribute access to the Service without our written consent
• Use automated tools (bots, scrapers) to access the Service without authorization

We reserve the right to suspend or terminate accounts that violate these restrictions.

Your Data: You retain full ownership of all business data you enter into the NEXUS platform, including product catalogs, customer records, sales transactions, inventory data, and any other content you create or upload ("Your Data"). We do not claim ownership of Your Data.

License to Us: You grant NEXUS a limited, non-exclusive license to use, store, and process Your Data solely for the purpose of providing and improving the Service.

Data Portability: You can export Your Data at any time through the platform's built-in export features. Upon account termination, we will make Your Data available for export for 90 days before permanent deletion.

Aggregated Data: We may use aggregated, anonymized data derived from usage of the Service for analytical and improvement purposes. This data cannot be used to identify you or your business.

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and shall not be liable for any downtime caused by:

• Scheduled maintenance (we will provide advance notice)
• Force majeure events, including natural disasters, government actions, or infrastructure failures beyond our control
• Third-party service outages (payment processors, hosting providers)
• Your internet connectivity or hardware issues

The Service includes an offline mode for the POS module, which allows continued operation during internet outages with automatic data synchronization upon reconnection.

To the maximum extent permitted by the law applicable to your contracting entity:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• NEXUS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to NEXUS during the twelve (12) months preceding the claim.
• We shall not be liable for any loss of data, revenue, or business opportunity resulting from Service interruptions, provided we have taken reasonable measures to prevent such occurrences.

By You: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle. You will continue to have access to the Service until that date.

By Us: We may suspend or terminate your access to the Service immediately if you violate these Terms, fail to pay subscription fees after a 14-day grace period, or if we are required to do so by law. We will provide notice of termination and the reasons for it, except where prohibited by law.

Effect of Termination: Upon termination, your right to access the Service ceases immediately (or at the end of your billing cycle for voluntary cancellation). Your Data will be available for export for 90 days post-termination, after which it will be permanently deleted.

These Terms are governed by the law applicable to your contracting entity. The applicable forum and contracting entity are disclosed during onboarding and must be approved for the installation before production launch.

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days.
